Terms & Conditions

1. Agreement

These Terms & Conditions govern your use of the GearHub Direct platform and your relationship with GearHub Direct as an independent reseller partner. By registering an account you confirm that you are at least 18 years old, legally resident in South Africa, and that the information you supply is true and complete.

2. Independent contractor status

You are an independent business person. Nothing in these terms creates an employment relationship, partnership, joint venture or agency between you and GearHub Direct. You are responsible for your own tax affairs, including registration with SARS where applicable.

3. The reseller model

GearHub Direct holds stock, processes orders and dispatches goods to your customers. You market products, generate orders and provide first-line customer engagement. You may not hold yourself out as an employee, director or official representative of GearHub Direct.

Product prices, partner margins and availability are displayed in your dashboard and may change without notice. The margin applicable to an order is the margin displayed at the moment the order is placed.

4. Earnings and payouts

Margin is credited to your GearHub wallet once an order is confirmed delivered. Payouts are made to the verified South African bank account recorded on your profile, according to the frequency of your package. GearHub Direct is not liable for delays or losses caused by incorrect banking details supplied by you.

GearHub Direct may withhold a payout where fraud, chargebacks, unresolved customer disputes or breach of these terms is reasonably suspected, pending investigation.

5. Prohibited conduct

You may not misrepresent products, guarantee outcomes on behalf of GearHub Direct, spam, run misleading advertising, resell below any published minimum price, or use the platform for any unlawful purpose. Breach may result in immediate suspension and forfeiture of unpaid commission earned through the breach.

6. Suspension and termination

Either party may terminate this relationship at any time on written notice. Verified wallet balances lawfully earned before termination remain payable. GearHub Direct may suspend an account immediately where there is a reasonable suspicion of fraud or unlawful activity.

7. Limitation of liability

To the maximum extent permitted by South African law, GearHub Direct's total liability arising from your use of the platform is limited to the value of commissions payable to you in the three months preceding the claim. GearHub Direct is not liable for indirect or consequential loss, including loss of profit or opportunity.

8. Governing law

These terms are governed by the laws of the Republic of South Africa and the parties submit to the jurisdiction of the South African courts. Where these terms conflict with the Consumer Protection Act 68 of 2008 or other applicable legislation, the legislation prevails.
